CONSTITUTION
Woodbridge Valley Improvement and Civic Association, Inc.
CONSTITUTION
Article I - Name
The Corporation shall be known as the "Woodbridge Valley Improvement and Civic
Association, Inc., of Baltimore County," hereinafter called the Association.
Article II - Object
The Association shall be non-partisan and non-commercial and shall function for the
mutual benefit and civic needs of the residents of the area served by the Association.
Article III - Membership
Membership in the Association is limited to individuals owning, purchasing, or renting
residential property situated within the confines of the area as delineated in the Bylaws (see Bylaws, Article I).
Article IV - Officers, Board Members and Their Elections
A. The officers of the Association shall consist of the President, Vice President, Secretary and Treasurer.
B. The officers shall be elected from a slate presented by the Nominating Committee of the Board at the first (1st) Board meeting following the General Membership meeting at which the Board members were elected or re-elected.
C. Officers shall assume their duties and responsibilities immediately following their election to office.
D. Officers shall serve a one (1) year term.
E. The immediate past president of the Board of Directors shall serve as an additional member of the Board.
F. One-half (1/2) of the Board members shall be elected each year for a two (2) year term. All Board members shall be elected for a two (2) year term.
G. The term of office for those persons elected to the Board shall commence at the first (1st) Board of Directors meeting following their election at the General Membership meeting held in the spring of each year. The term of office shall terminate at this same Board of Directors meeting for those leaving the Board.
H. The election of members of the Board of Directors shall be by ballot at the regular General Membership meeting held in the spring (see Bylaws, Article X - Elections).
I. The President shall fill, with the approval of the Board, any vacancy that may occur on the Board (see Bylaws, Article XI).
Article V - Meetings
A. A general meeting of the Association shall be held in the spring each year.
B. Special meetings may be called by the President at any time subject to the rules as provided for in by Bylaws (see Bylaws, Article III).
Article VI - Amendments
The Constitution and Bylaws of the Association may be amended at a meeting of the
Association by a two-thirds (2/3) vote of those members present provided that the
following sequence is observed:
A. The proposed amendment shall be submitted in writing to the Secretary and shall be read and considered at the next meeting of the Board of Directors.
B. The proposed amendment shall then be provided in writing to the regular members of the Association at least two (2) weeks prior to the next meeting of the Association. At the same time, a written report of the recommendations of the Board of Directors on the amendment shall be provided.
C. The proposed amendment and the Board of Directors report shall then be read and discussed at the next meeting of the Association, at which time the vote is to be taken.
